1. Acceptance of Terms

By accessing or using the services of Predictorix AI (hereinafter, "the Service"), you agree to be legally bound by these Terms of Service. If you do not agree with any of these terms, you should not use the Service.

These terms constitute a legally binding agreement between you (whether an individual or legal entity) and Predictorix AI. By registering, accessing, or using our services, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You are not prohibited from using the Service under applicable laws
• You will use the Service only for legitimate business purposes

2. Service Description

Predictorix AI is a SaaS (Software as a Service) Business Intelligence and predictive analytics platform that enables companies to:

• Centralize marketing, sales, and financial data from multiple sources
• Connect advertising platforms (Meta Ads, Google Ads, TikTok, etc.) via OAuth
• Visualize performance metrics in unified dashboards
• Analyze return on investment (ROI) of advertising campaigns
• Manage budgets and operational costs
• Receive predictions and recommendations based on artificial intelligence

The Service is designed exclusively for business use (B2B) and is not intended for individual consumers for personal purposes.

3. Registration and Account

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your access credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Updating your information when necessary

3.2 Third-Party Integrations

By connecting third-party platforms (Google Ads, Meta Ads, etc.) via OAuth, you:

• Authorize Predictorix AI to access the specified metrics data
• Confirm that you have authority to grant such access
• Accept the terms of service of the connected platforms
• Understand that you can revoke access at any time

4. Plans and Payments

4.1 Subscriptions

The Service is offered through monthly or annual subscription plans. The details of each plan, including features and prices, are available on our pricing page.

4.2 Billing

• Payments are processed in advance at the beginning of each billing period
• Subscriptions renew automatically until cancelled
• Prices may change with 30 days prior notice
• Applicable taxes will be added based on your location

4.3 Refunds

Payments are non-refundable, except where required by applicable law. If you cancel your subscription, you will have access to the Service until the end of the current billing period.

5. Acceptable Use

By using the Service, you agree NOT to:

• Violate any laws, regulations, or third-party rights
• Use the Service for fraudulent or illegal activities
• Attempt to access systems or data without authorization
• Interfere with the operation of the Service or its servers
• Reverse engineer, decompile, or modify the software
• Resell, sublicense, or redistribute the Service without authorization
• Upload malicious content, viruses, or harmful code
• Use the Service to send spam or unsolicited communications
• Impersonate persons or entities
• Violate the terms of connected third-party platforms

6. Intellectual Property

6.1 Predictorix AI Ownership

The Service, including its software, design, logos, text, and all related materials, are the exclusive property of Predictorix AI and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these terms.

6.2 Your Data

You retain all rights to the data you upload or generate through the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.

7. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy describes how we collect, use, and protect your personal information. By using the Service, you accept our privacy practices.

We are committed to complying with applicable data protection regulations, including GDPR, CCPA, LGPD, and local laws in each jurisdiction.

8. Service Availability

We strive to keep the Service available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability. The Service may be unavailable due to:

• Scheduled maintenance (notified in advance when possible)
• System updates and improvements
• Unforeseen technical problems
• Circumstances beyond our control (force majeure)
• Interruptions in third-party services

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available", without warranties of any kind, express or implied
• We do not guarantee that the Service will be uninterrupted, secure, or error-free
• We will not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you in the 12 months prior to the event giving rise to the claim

Predictions and recommendations generated by the Service's artificial intelligence are advisory only and do not constitute financial, legal, or professional advice. Business decisions based on this data are the sole responsibility of the user.

10. Indemnification

You agree to indemnify, defend, and hold harmless Predictorix AI, its directors, employees, and agents, from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of third-party rights
• Any content you upload to the Service

11. Termination

11.1 Termination by User

You may cancel your account at any time from your account settings or by contacting soporte@predictorix.ai. Cancellation will be effective at the end of the current billing period.

11.2 Termination by Predictorix AI

We reserve the right to suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Fail to pay applicable fees
• Your use of the Service negatively affects other users

11.3 Effects of Termination

Upon termination, you will have 30 days to export your data. After this period, your data will be deleted in accordance with our Privacy Policy.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified at least 30 days in advance through:

• Email to the address registered in your account
• Visible notice on the platform

Continued use of the Service after the effective date of changes constitutes your acceptance of the new terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Mexico. Any dispute arising in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Mexico City.

For users in other jurisdictions, local consumer protection laws may apply to the extent they cannot be excluded by contract.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Predictorix AI regarding the Service.
• Severability: If any provision of these Terms is found to be invalid, the remaining provisions shall remain in effect.
• Waiver: Failure to exercise any right under these Terms does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our prior written consent.
